Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and SignalStack Media Inc. ("SignalStack," "we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada, with its principal office at 181 Bay Street, Suite 1400, Toronto, ON M5J 2T3.

By accessing our websites, subscribing to our newsletters, or using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

2. Services

SignalStack operates a portfolio of niche intelligence newsletters, including but not limited to ContractPulse. Our services include free and paid newsletter subscriptions, web-based content, data access, and API services (collectively, "Services").

3. Subscription and Account

To subscribe to our newsletters, you must provide a valid email address and, for paid subscriptions, valid payment information. You represent that you are at least 18 years of age and that all information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Paid Subscriptions

Paid subscriptions are billed on a monthly recurring basis. All prices are in Canadian dollars (CAD) unless otherwise stated. Applicable taxes (including HST) will be added at checkout.

You may cancel your paid subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods, except as required by applicable law.

We reserve the right to change subscription pricing with 30 days' written notice to subscribers. Continued use of paid Services after a price change constitutes acceptance of the new pricing.

5. Intellectual Property

All content provided through our Services, including but not limited to text, data, analysis, graphics, logos, and software, is the property of SignalStack Media Inc. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use our content for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit our content without our prior written consent.

Enterprise subscribers may share content within their organization as specified in their subscription agreement.

6. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The information provided in our newsletters is for informational purposes only and does not constitute legal, financial, investment, or professional advice. We make reasonable efforts to ensure accuracy but do not guarantee that our content is complete, accurate, current, or error-free. You should independently verify any information before relying on it for business decisions.

7. Limitation of Liability

To the maximum extent permitted by applicable law, SignalStack Media Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our Services.

Our total aggregate liability for any claims arising from or relating to these Terms or our Services shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

8. Canadian Anti-Spam Legislation (CASL) Compliance

We comply with Canada's Anti-Spam Legislation (S.C. 2010, c. 23). By subscribing to our newsletters, you provide express consent to receive commercial electronic messages from SignalStack Media Inc. at the email address you provide.

Every commercial electronic message we send will: (a) identify SignalStack Media Inc. as the sender; (b) include our contact information; and (c) include a functioning unsubscribe mechanism. You may withdraw your consent at any time by using the unsubscribe link in any email or by contacting us at hello@signalstack.io. We will process unsubscribe requests within 10 business days as required by CASL.

9. Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.

10. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice. Upon termination, your right to use our Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify subscribers of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of our Services after changes take effect constitutes acceptance of the revised Terms.
